Joe has handled acquisitions, dispositions, and financings of commercial real estate valued in excess of $10 billion. He specializes in transactions which are financed through the issuance of real estate securities, including REIT shares, undivided tenant in common (“TIC”) interests, and beneficial interests in a Delaware statutory trust (“DST”). His experience includes the acquisition of a multi-family complex in Tampa, which was the largest DST transaction in U.S. history at the time and the acquisition of an office tower in Chicago which was the largest syndicated TIC acquisition in U.S. history at the time.

Joe has served as an expert witness in litigation related to the restructuring of master leases for TIC and DST assets, and has been a speaker on such topics as the structuring of UPREIT transactions and the challenges of transitioning management responsibility for TIC owned assets.

  • Representative Cases:

      • Ground lease negotiations for and acquisition of a Boston medical office tower portfolio, with value in excess of $115 million
      • Sale of a $175 million office building portfolio in San Diego for a public nontraded REIT
      • Structuring and closing of UPREIT acquisitions whereby operating partnership units were issued in exchange for TIC interests in multi-family and retail assets
      • Negotiation of a complex ownership restructuring and loan document modification with a CMBS special servicer and an outside equity provider for a troubled multifamily project in Dallas
      • Acquisition of $650 million hotel in Minneapolis, together with associated assets and franchise rights
      • Negotiation of a purchase and sale agreement for a private equity fund’s sale of a $135 million office tower in Chicago
      • Extensive analyses of payment-in-lieu-of-taxes structures in multiple jurisdictions for the acquisition of a medical office building portfolio for a prominent public nontraded REIT
      • Negotiation of mezzanine loan documents and an intercreditor agreement in connection with the recapitalization of an office tower in Nashville
      • Extensive ground lease estoppel negotiations for three different ground leases in connection with the sale of an office tower in Denver for more than $115 million
      • Defeasance of securitized loans secured by retail and office assets in Las Vegas
