We represent lenders, investors, builders, and developers in commercial and residential projects, throughout the life cycle of their projects.

Our practice includes drafting and negotiating purchase and sale agreements, escrow agreements, closing documents, covenants, and easement agreements. We review and analyze due diligence materials, including title, survey, zoning reports, environmental site assessments, and condominium documents. We also assist our clients in the preparation and negotiation of various design and construction documents, including AIA contracts.

We assist investors in historic rehabilitation tax credit projects, including company structuring.

We are well-versed in the issues and concerns unique institutional investors, including Delaware statutory trusts and REITs.


We have extensive experience representing borrowers and lenders in complex real estate financing transactions, including construction loans, permanent loans, conduit lending, portfolio financing, revolving credit facilities, mezzanine financing, financing leasehold interests, and historic tax credit projects.

Our team assists clients in all aspects of the transaction, from reviewing and analyzing due diligence, to drafting and negotiating loan documents and inter-creditor agreements, to providing legal opinions.


We represent both landlords and tenants in connection with drafting and negotiating office, retail, and industrial leases, as well as ground leases and master leases. 

We also review and negotiate lease amendments, assignments, extensions, early termination agreements, subleases, estoppels, SNDAs, and work letters.  Our attorneys have experience in resolving lease disputes and defaults, including litigation when appropriate.
